Terms of Service

Welcome to Proffing. By creating an account or using the platform, you agree to these Terms of Service (“Terms”). Please read them carefully. If you do not agree, do not use the platform.

1. Who We Are

Proffing LLC (“Proffing,” “we,” “us,” or “our”) is a Maryland limited liability company. We operate an online marketplace connecting academic instructors and subject-matter experts (“Instructors”) with schools, universities, departments, and individuals seeking to bring in speakers or instructors for educational purposes (“Hiring Parties”).

Proffing is a platform only. We do not employ Instructors, guarantee placement, or guarantee that any particular opportunity will be filled. Any engagement between an Instructor and a Hiring Party is a direct arrangement between those two parties.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on your own behalf or on behalf of your institution. By using Proffing, you represent that these conditions are met.

3. Accounts

  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate and truthful information when creating your profile.
  • One person or entity may not create multiple accounts to circumvent restrictions.
  • You must notify us immediately at david@proffing.com if you believe your account has been compromised.

4. Instructor Profiles

  • Instructor profiles are visible to verified Hiring Party accounts.
  • You are solely responsible for the accuracy of your profile, including credentials, experience, and any uploaded CV.
  • Misrepresenting your qualifications is grounds for immediate account termination.
  • By uploading a CV or other document, you grant Proffing a limited license to store and display it to Hiring Parties for the purpose of matching.

5. Hiring Party Profiles and Verification

  • Hiring Party accounts are subject to manual verification by Proffing before they can contact Instructors or post opportunities. Verification typically takes 1–2 business days but is not guaranteed within any particular timeframe.
  • Proffing reserves the right to decline or revoke verification at its discretion.
  • Verified status does not constitute an endorsement of the institution or individual by Proffing.

6. Teaching Opportunities

  • Opportunities must be genuine and relate to academic teaching, guest speaking, or related educational engagements.
  • Postings must not be misleading, fraudulent, or unrelated to the stated purpose.
  • Proffing may remove any posting that violates these Terms or that we deem inappropriate, at our sole discretion.
  • Opportunities expire on the date set by the Hiring Party and will no longer be shown to Instructors after that date.

7. User Conduct

You agree not to:

  • Post false, misleading, or fraudulent content
  • Harass, discriminate against, or threaten other users
  • Use the platform for any purpose other than its stated use
  • Scrape, copy, or redistribute platform data without written permission
  • Attempt to gain unauthorized access to any part of the platform
  • Use Proffing to solicit users off-platform for competing services

8. Intellectual Property

The Proffing platform, including its design, code, and branding, is owned by Proffing LLC. You retain ownership of content you submit (your profile, CV, cover messages). By submitting content, you grant Proffing a non-exclusive, royalty-free license to store and display it as necessary to operate the platform.

9. Disclaimer of Warranties

The platform is provided “as is” and “as available” without warranties of any kind, express or implied. Proffing does not warrant that the platform will be uninterrupted, error-free, or that any particular match, application, or engagement will occur.

10. Limitation of Liability

To the maximum extent permitted by law, Proffing LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or any engagement between users. Our total liability to you for any claim shall not exceed the greater of $100 or the amount you paid to Proffing in the 12 months preceding the claim.

11. Termination

You may delete your account at any time from your dashboard. Proffing may suspend or terminate accounts that violate these Terms, with or without notice. Upon termination, your profile and associated data will be removed in accordance with our Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict of law principles. Any dispute arising from these Terms or your use of Proffing shall be resolved in the state or federal courts located in Maryland, and you consent to personal jurisdiction in those courts.

If you are an EU/EEA consumer, nothing in these Terms affects your rights under applicable consumer protection laws in your country of residence.

13. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email and update the effective date above. Continued use of the platform after changes constitutes acceptance of the revised Terms.
